The purpose of the foundation is to promote and develop open virtual worlds, in particular in the form of Massively Multiplayer Online Computer Games (each a Virtual World). 2. The foundation's activities are specifically focused on the development, promotion, and adaptation of technological solutions, standards, and design concepts that enable a Virtual World (i) to be controlled, developed, and managed by emergent coordination mechanisms of players, (ii) to be integrated with open protocols or technologies that enable the independent management and disposal of virtual goods and immaterial property rights, and (iii) to be developed and maintained as a continuous technology, polycentric ecosystem, and cultural asset with the participation of the community of players and other stakeholders. 3. The Massively Multiplayer Online Computer Game SEED, a company-owned game IP (SEED), represents a Virtual World within the meaning of this paragraph and is to be particularly promoted through the foundation's activities. The purpose of the foundation and the activities mentioned under point 2 are therefore specifically aimed at promoting SEED as a core element of an open ecosystem in which a variety of independent and autonomous actors can contribute to the further development of SEED and new applications for users (the SEED Ecosystem). 4. Furthermore, the foundation's activities are aimed at developing mechanisms that enable the coordination of actors and users of the SEED Ecosystem with regard to collective decisions on the further development of the SEED Ecosystem itself. Such decisions may also concern the activities or organization of the foundation itself and may be supported and implemented by the foundation to the extent that they are in line with the foundation's purpose. 5. In this context, the foundation's activities are specifically focused on the development of technologies and applications for SEED, or the promotion and support of such developments, the promotion of public awareness and public awareness of SEED, its applications, and the SEED Ecosystem, including training and further education in this area, as well as in general in the area of Virtual Worlds and associated, communally managed ecosystems. The foundation's purpose also includes holding and managing digital and non-digital assets for the foundation's activities. 6. In addition, the foundation aims to promote innovation, cooperation, and meaningful participation by developing and implementing technological, in particular blockchain-based solutions that improve access, incentivization, and value creation in Virtual Worlds. 7. To achieve this purpose, the foundation may (i) support and finance suitable research and development activities as well as projects, companies, and individuals; (ii) acquire, hold, manage, or grant trademarks, copyrights, and other rights or licenses to intellectual property, GitHub repositories, or book and cash reserves; (iii) issue, receive, lend, transfer, and hold digital information units (tokens) (excluding speculative trading activities); (iv) organize or support workshops, hackathons, developer events, and the like; (v) create or provide teaching materials such as developer kits and technical descriptions, and the like; (vi) collaborate with various companies, partners, banks, regulatory or other authorities, and other third parties for the benefit of SEED; (vii) organize or support conferences and other events; (viii) host, manage, and control websites and interfaces; (ix) make grants, donations, and other contributions to third parties in accordance with the foundation's purpose without requiring consideration or other compensation; (x) transfer assets and/or liabilities (including all or substantially all assets and/or liabilities of the foundation) to third parties, provided that such transfer is made together with the recipient's obligation to use the transferred values to pursue goals that are in line with the foundation's original goals; and (xi) conduct and promote all business, execute and perform all transactions, and generally take all actions that are necessary, appropriate, related, or desirable to contribute to the achievement or promotion of the goals and activities described herein. 8. The foundation may operate in Switzerland and abroad to fulfill its purpose. 9. The foundation may delegate the fulfillment of its tasks to other organizations, found and/or promote existing organizations. The foundation may employ its own personnel to fulfill the foundation's purpose, engage partners and contractors to fulfill tasks, and assign tasks to them. 10. The foundation may hold participations in other companies, establish subsidiaries in Switzerland and abroad, and hold other blockchain projects. 11. According to the foundation's findings, it is likely that experienced and capable individuals will only be willing to serve as members of the foundation board, management, or in other leading positions of the foundation under the condition of comprehensive insurance or indemnification to the legally possible extent. After careful consideration of all circumstances, including legal and liability risks and the potential burden of defending lawsuits, the foundation believes that concluding corresponding insurance and, if necessary, additional contractual indemnification for the foundation board and management is not only appropriate and careful but also necessary to promote and protect the foundation's interests through capable personnel in key positions.
