The purpose of the company in Switzerland and/or abroad is: (i) to research, develop, manufacture and market, including purchasing, selling, importing, exporting and distributing products of all kinds and providing services of all kinds in the fields of pharma, biotechnology, chemistry, nutrition and related areas, as well as conducting clinical trials; (ii) to acquire, own, manage, sell, exploit and license patents, trademarks, technical and industrial know-how and other intellectual property rights; (iii) to invest in other commercial companies, establish subsidiaries and carry out all operations that are directly or indirectly related to the aforementioned purposes; (iv) to provide services or support to third parties, shareholders and affiliated companies, regardless of whether the service is of an administrative, operational or commercial nature or whether it relates to research or industrial services; (v) to grant loans and/or other direct or indirect financing (including, without limitation, within the framework of cash pooling agreements) to its direct and indirect subsidiaries and/or third parties, including its direct and indirect shareholders as well as the direct and indirect subsidiaries of these shareholders; (vi) to provide guarantees of any kind, with or without consideration, and/or any other form of security, with or without consideration, to one or more shareholders, one or more group companies to which the company belongs, and/or one or more third parties, in order to guarantee the obligations and/or liabilities of one or more shareholders, one or more group companies to which the company belongs, and/or one or more third parties, provided that this serves the interests of the company.
