The purpose of the company is the sale, import and export of products, machinery, items, substances and materials that, among other things, are related to the plant protection industry, including those developed and/or manufactured by the ultimate parent company of the company or by other companies associated with the latter; to primarily sell these products to customers based outside of Switzerland; to acquire, use, sell or exchange patents, processes and trademarks and to grant or receive licenses therefor; to participate in any form of commercial, financial or industrial transactions that are directly or indirectly related to the aforementioned purposes; to manage such participations; to operate laboratories for the purpose of basic research and applied research in all its fields of activity; in general, to carry out all commercial transactions, transactions with real estate or movable property as well as all financial, industrial or technical operations that are related to the activities of the company. The company may conclude all transactions directly or indirectly, either for its own account or for the account of others. The company may grant direct or indirect financing to companies in which it is directly or indirectly involved, as well as to direct or indirect shareholders or companies in which they are directly or indirectly involved, either by way of loans and/or other financing. The company may provide securities of any kind for its own liabilities or the liabilities of the aforementioned persons, including by way of pledges, assignments, fiduciary transfers, guarantees of any kind or by way of compensation obligations, whether for a consideration or not, even if such financing, securities or guarantees are in the exclusive interest of companies in which it is directly or indirectly involved, or of direct or indirect shareholders or companies in which they are directly or indirectly involved. The company may establish branches and subsidiaries at home and abroad. The company may acquire, hold or sell real estate, to the extent permitted under the BewG.
