The purpose of the company is to develop and provide professional Hedera training, education, innovation and certification programs to empower entrepreneurs, companies, engineers and the global Hedera community, including the operation of a learning management system (LMS) for Hedera training modules. It may establish branches in Switzerland and abroad, set up subsidiaries, participate in related companies, acquire, hold, manage, encumber, utilize and dispose of real estate and intellectual property rights, and perform all legal acts that may be necessary to achieve the company's purpose, in particular to grant financing to affiliated and other companies, provide security of any kind or otherwise secure or guarantee the obligations of these companies. The company may grant direct or indirect financing to its direct or indirect subsidiaries and third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, for its own liabilities and to other companies (including direct or indirect shareholders of the company or companies in which these shareholders are directly or indirectly involved) provide security of any kind, including by way of pledges on or fiduciary transfers or assignments of the company's assets, or guarantees, joint and several liabilities or sureties, or otherwise secure or guarantee the obligations of these other companies, whether for consideration or not. Furthermore, it may operate a liquidity adjustment/concentration of net liquidity (cash pooling) with the aforementioned companies or join such a system, including periodic account balancing. This also without consideration, on preferential terms, without interest, excluding the company's profit motive and assuming cluster risks. The company may engage in all commercial, financial and other activities that appear to promote the company's purpose, are related to it or are in the interest of the group or its group companies.
