The purpose of the company is to provide services to various subsidiaries of Herbalife Ltd., the direct or indirect acquisition, management and disposal of participations in domestic and foreign companies, the development, expansion, maintenance, protection and exploitation of certain intellectual property of the group, as well as the execution and financing of financing and trust transactions. The company may establish branches in Switzerland and abroad, participate in other companies of any kind, take over representations and enter into any business and conclude contracts that may be suitable to promote the purpose of the company or that are directly or indirectly related to it. The company may conclude loan agreements for its own account or for the account of third parties, as well as acquire, hold, manage or sell any kind of debt or securities in Switzerland or abroad. The company may raise and invest funds on the money or capital market. The company may acquire, hold, manage, encumber and sell real estate in Switzerland and abroad, except for transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company is part of a group and may consider the interests of the group in pursuing its corporate purpose. In particular, the company may grant loans and other direct or indirect financing to its direct and indirect subsidiaries and third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, including within the framework of cash pooling agreements (including zero balancing), and provide collateral of any kind for the liabilities of these parties, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind. This also applies without consideration, on preferential terms, without interest, excluding the company's profit motive and/or assuming cluster risks.
