The Company's purpose is the marketing of helium on the international market, particularly in Europe. It will be primarily responsible for marketing the helium produced by a production facility operated by the group to which it belongs and may also market and procure helium from other sources. Pursuant to the foregoing and without prejudice to the generality of the foregoing, the Company is, inter alia, committed to carrying out all activities related to the marketing of helium on the international market, including sales, contract negotiation, contract management, invoicing, crediting funds to bank accounts, accounting, establishing offices in Algeria, if necessary, and elsewhere, appointing personnel, logistical coordination, establishing and managing commercial contracts and business relationships related to the sale of helium on the international market, and particularly in Europe; Carrying out all civil, real estate, industrial, financial, commercial and other operations related to the purpose of the Company and enabling it to be created, operated and developed; Organizing and conducting, on behalf of the Shareholders of the Company, market analyses of the helium market and organizing the training of personnel of Sonatrach S.P.A. (a company incorporated in Algeria) seconded or made available to the Company, in order to enable such personnel to effectively carry out the following activities: commercial strategies, development of procedures, sales program, preparation of budgets; Prospecting and preparation of tenders; Sale of helium to wholesale distributors; Sale of helium to large end users; Negotiation of contracts with the Company's customers; Purchase or lease of containers; Management and maintenance of containers; Management of helium sales contracts; Mobilization and management of the Company's personnel; Organization of container transport and relations with carriers; Planning of container movements; Management of the helium purchase contract between the helium producing company and the Company. Making investments, if requested by the Shareholders of the Company, in the field of helium transport and packaging. The purpose of the Company includes the performance of all necessary, ancillary or useful operations in connection with the foregoing. To this end, the Company may provide management services and participate in industrial, real estate and commercial companies, with the exception of participation in companies that own residential real estate in Switzerland. The Company may also participate in the financing, including by providing guarantees of any nature and acting as a guarantor, of other entities of the group to which the Company belongs in the general interest of said group, and create branches or establish subsidiaries in Switzerland and abroad.
