The acquisition, holding, administration and use of company shares in Switzerland and abroad. It may also carry out, either for its own account or for the account of third parties, all financial, commercial, movable and immovable operations solely in connection with Swiss real estate, provided that they have an exclusively commercial or industrial purpose, directly or indirectly related to its corporate purpose. The company may establish branches and subsidiaries in Switzerland and abroad. The company may grant loans or other direct or indirect financing to its direct or indirect subsidiaries as well as to any other company in the group, including its direct or indirect shareholders and their direct or indirect subsidiaries, and may also guarantee in any manner whatsoever their obligations to third parties, notably by means of pledges, assignments or transfers for the purpose of securities or guarantees of any kind, remunerated or not, even if these guarantees and securities are exclusively in the interest of the direct or indirect partners or the other companies of the group. Moreover, it may operate or associate with the companies mentioned above in cash compensations/net cash centralizations (cash pooling), including periodic balance adjustments (balancing). Furthermore, it may act as a guarantor to creditors for debts incurred by its direct or indirect subsidiaries as well as by any other company in the group, including its direct or indirect shareholders and their direct or indirect subsidiaries. Finally, the company must preserve the rights of shareholders who do not benefit from such financing, guarantees, sureties and/or other securities.
