The Company's purpose (in compliance with the rules relating to the acquisition of real estate by foreigners) is the trade in goods of all kinds as well as patents and other intellectual property rights, and the granting of licenses on these rights. It may also acquire, sell and hold shares in companies and projects of all kinds, as well as engage in financing activities, franchising, engineering services, and the provision of consulting services, notably in the field of the circular economy, among other things through the valorization of waste and energy production. The Company may enter into all transactions and contracts suitable for promoting its corporate purpose, establish branches and subsidiaries both in Switzerland and abroad, participate in other companies or acquire them, as well as manage and direct these companies and others. The Company may grant loans or any other form of financing to companies of the same group or to third parties, as well as provide securities of all kinds, directly or indirectly for the benefit of companies of the same group or third parties, in particular in the form of guarantees, pledges or securities on the assets of the Company. The Company may also acquire, encumber, sell and manage commercial real estate and land exclusively in Switzerland and abroad. In addition to its economic purpose, the Company seeks to have a significant positive impact on society and the environment. The Board of Directors takes into account, in its decisions, the effects on all stakeholders, including employees, customers, suppliers, communities, the environment and future generations.
