The purpose of the company is to fulfill internal group tasks within the Stena Metall Group, in particular holding and managing participations as well as financial resources and/or rights, financings and investments of all kinds, group financing, the conclusion of cash pooling agreements with group companies, the centralization of financial transactions, the execution and participation in credit transactions including the taking up of loans, the granting of loans and financing services to and from group companies and also to and from third parties. In pursuing its corporate purpose, the company may take into account the interests of the Stena Metall Group. In particular, the company may grant direct or indirect financings to the group companies, their direct or indirect subsidiaries and to third parties, including their direct or indirect shareholders as well as their direct or indirect subsidiaries, take up loans for and from such companies and provide securities of all kinds for liabilities of such companies and for itself, including by way of pledges on or fiduciary transfers of assets of the company or guarantees of any kind, whether or not for consideration. Activities which require a license from the Swiss Financial Market Supervisory Authority FINMA are expressly excluded. The company may establish branches and subsidiaries in Switzerland and abroad and participate in other companies in Switzerland and abroad as well as conduct all business that is directly or indirectly related to its purpose. The company may acquire, encumber, dispose of and manage real property in Switzerland and abroad.
