To this end, the company may acquire, hold and sell participations in other companies, carry out merger, demerger, acquisition, disposal and any other form of corporate reorganization or strategic collaboration. It may also invest in related activities and services, enter into commercial agreements, licensing agreements, franchising agreements and partnerships, as well as provide technical, managerial, administrative and organizational consulting and support to its subsidiaries or affiliates. The company may also carry out all commercial, industrial, financial, real estate and investment operations deemed useful or opportune for the achievement of its purpose, operating in compliance with applicable regulations. If appropriate, the company undertakes to integrate environmental, social and good governance sustainability criteria into its strategy, in order to anticipate market developments and promote sustainable and responsible growth. The company may establish branches and representative offices in Switzerland and abroad and may acquire, hold, mortgage and sell real estate within the limits imposed by the applicable regulations (funds for business establishments, art. 2 para. 2, letter a) LAFE) and intellectual property rights. The company may grant loans and other direct or indirect financing to Group companies and third parties, including its shareholders (direct and indirect) and their respective Group companies, and provide guarantees of any kind for their liabilities, including mortgages on assets or fiduciary transfers of company assets or guarantees of any kind, with or without consideration.
