The Company's purpose is the acquisition, sale, administration, and control of interests in all commercial, industrial, and financial enterprises in Switzerland and abroad, as well as making any investment and any transaction in movable property (including intellectual property rights) or immovable property (with the exception of transactions prohibited by the Federal Law on the Acquisition of Real Estate by Persons Abroad) directly or indirectly related, in any form, to this purpose. The Company may also, in Switzerland and abroad, carry out, either for its own account or for the account of third parties, any financial transactions, including issuing bonds or other transactions directly or indirectly related to its main purpose; and receive and grant loans or provide guarantees or other types of securities, including by means of pledging or transferring ownership of the Company's assets as security, for a consideration or free of charge, as well as direct or indirect financing, including within the framework of cash pooling agreements, to direct or indirect subsidiaries, direct or indirect shareholders and their direct or indirect subsidiaries, or to third parties. The Company is part of a group of companies and, as such, may take into account the interests of this group in pursuing its purpose.
