The Company's purpose is the development of computer software and the provision of all services in the fields of computer science and data analysis. It may provide consulting services in these areas and lease services. The Company may, in Switzerland or abroad, carry out any financial, commercial or industrial activity, whether movable or immovable, except for operations prohibited by the LFAIE, and conclude all contracts that are suitable for developing its purpose or are directly or indirectly related to it; create branches or subsidiaries; participate in all companies having a direct or indirect relationship with its purpose; or take participations in commercial companies. The Company is part of a group of companies and may take into account the interests of this group in pursuing its corporate purpose. In particular, the Company may grant loans or other forms of direct or indirect financing, including within the framework of cash pooling agreements (centralization of treasury), and provide all types of guarantees and securities, including in the form of pledges or fiduciary assignments of the Company's assets, to its direct and indirect subsidiaries, as well as to third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, for consideration or free of charge.
