2.1 The foundation's purpose is (a) to provide benefits to its beneficiaries when they become in need of support. The beneficiaries of the foundation are (a) employees of the founding company, (b) employees of RWM Schweiz AG, Zurich (UID CHE-106.099.380, hereinafter referred to as the subsidiary company), as long as the founding company is capital- and/or voting-participated in the subsidiary company with at least two-fifths, (c) persons who were employees of the founding company or the subsidiary company until their ordinary or early retirement or entitlement to a full IV pension, as well as (d) the surviving dependents of all persons mentioned in section 2.1 (a); (b) to make contributions to social plans or similar measures of the founding company or the subsidiary company, which serve to offset the hardships of job loss due to downsizing, restructuring or similar changes of the founding company or the subsidiary company. 2.2 There is no legal entitlement to benefits or contributions from the foundation's assets; the foundation board decides at its discretion. 2.3 No benefits may be paid from the foundation's assets for which the founding company or the subsidiary company is legally obligated or which they customarily pay as compensation for services rendered (e.g. family allowances, bonuses). 2.4 The foundation does not pursue any commercial or self-help purposes and does not aim to make a profit. Its assets are exclusively dedicated to the aforementioned purpose.
