The Company's purpose is the development, design, manufacture, marketing, distribution, and sale of all means of transport, notably bicycles; and the provision of all related services and advice. The Company may, in Switzerland or abroad, acquire, sell, manage, and control interests in all commercial, industrial, and financial enterprises and entities, as well as make any investment and any movable or immovable property transaction (only in connection with properties exclusively for commercial use) directly or indirectly related, in any form, to this purpose; carry out any financial, commercial, or industrial activity - movable or immovable (only in connection with properties exclusively for commercial use) by persons abroad) and conclude any contract and carry out any other activity likely to develop its purpose or directly or indirectly related thereto; hold, acquire, exploit, license, and sell any intellectual property rights; create branches or subsidiaries; and, either for its own account or for the account of third parties, carry out any financial transactions, including issuing bonds or others directly or indirectly related to its main purpose; and receive and grant loans or provide guarantees or other types of security, including by pledging or transferring ownership of the Company's assets as security, for a fee or free of charge, as well as direct or indirect financing, including within the framework of cash pooling agreements, to direct or indirect subsidiaries, direct or indirect shareholders and their direct or indirect subsidiaries, or to third parties.
