1. The foundation's purpose is to provide benefits, in particular occupational benefits, for the personnel of the subsidiaries or sister companies of Orior AG, especially for the management staff of these companies. 2. The board of trustees decides on the affiliation of the management staff of a subsidiary or sister company; the prior consent of the subsidiary or sister company is explicitly reserved. 3. The foundation provides old-age, death, and disability benefits. In cases of illness, accident, unemployment, or financial difficulties, it can also provide supplementary and assistance benefits. 4. The foundation can finance regulated pension plans of any kind. It can also finance the pension contributions of other pension institutions of Orior AG. 5. Within the scope of the aforementioned purpose, the board of trustees can issue one or more pension regulations, which specify, in particular, the admission requirements, benefits for the beneficiaries, contributions from the management staff, and - subject to the approval of Orior AG and the affiliated companies - contributions from the affiliated companies. The foundation must issue an investment regulation and a regulation on the formation and management of technical provisions. These regulations and any amendments thereto must be submitted to the supervisory authority. 6. The foundation can also conclude individual or collective insurance contracts or participate in the financing of existing contracts. The foundation is the mandatory policyholder and beneficiary of the insurance contracts it finances. 7. The foundation must issue a partial liquidation regulation, which is subject to approval by the supervisory authority.
