The purchase of helicopters by all means for the purpose of leasing them to the benefit of companies controlled by HBG Holding SA (IDE CHE-498.723.087), based in France and Switzerland; all import and export operations related to the above activity; participation as a borrower in financing operations in any form for the purpose of acquiring these stocks and, more generally, financing its activities and granting all securities on its assets; as well as participation as a borrower or lender in cash advance operations for the benefit of HBG Holding SA and the companies controlled by it; and more generally, the conclusion of any operation, whatever its nature, economic or legal, financial, civil or commercial, which can be directly or indirectly related to this object or to all similar, connected or complementary objects and likely to facilitate, directly or indirectly, its development or realization. Unless it is expressly authorized to do so by the terms of agreements whose conclusion has been expressly authorized by the associates during the Transformation of the Company, as these documents may have been amended or supplemented in accordance with their terms (the "Authorized Documents"), the Company shall not: hold any significant assets other than stocks composed of helicopters, which are directly related to its corporate purpose; contract financial debt; grant or promise to grant loans or other types of financing; grant or promise to grant any guarantee; no aval or guarantee; and more generally, it shall not allow the taking of any security, guarantee or privilege on its assets; hire or promise to hire personnel; nor create subsidiaries, nor hold any participation or share, social share or financial instrument (except for eligible financial instruments in which the company's excess cash may be invested in accordance with the Authorized Documents) or title giving direct or indirect access to the capital of a company or other entity.
