The Company's purpose is: - to engage in the trade of all energy products and derivatives, including natural gas, oil, renewable energies and hydrogen, both at national and international level; - to carry out financial transactions related to these products; - to acquire, sell and invest in national and international energy facilities related to production, storage, pipelines and similar energy infrastructures; - to lease, buy and sell tanker trucks, ships and other vehicles used for the transport of energy products; - to develop energy projects and partner in these projects or engage in all sorts of complementary or necessary activities related to these matters; - to open subsidiaries, branches and offices in various jurisdictions; - to obtain the licenses, permits and authorizations necessary in various jurisdictions to support and complement these activities; and - to engage in all ancillary or necessary activities related to these matters. The Company may provide to all companies of the group administrative, financial, accounting, commercial services and more generally any other service which they may need in the context of the development of the activities of the group. In particular, the Company may grant to its direct or indirect subsidiaries, including its direct or indirect shareholders and their direct or indirect subsidiaries, i) direct or indirect financings, ii) issue securities of any kind for its own commitments as well as for these companies, including by way of pledge rights on the assets of the Company or fiduciary transfers or fiduciary assignments relating to the assets of the Company, iii) issue guarantees, act as a surety or in any other way guarantee or secure obligations of the Company or these other companies, for a fee or not. Moreover, it may operate or participate with the companies mentioned above in cash compensations/net cash centralizations (cash pooling), including periodic balance adjustments (balancing), and this, without counter-performance, on preferential terms, without interest, excluding the Company's profit-making purpose and incurring a concentration of risks. The Company may create branches in Switzerland and abroad, represent third parties, carry on commercial activities, enter into contractual obligations and take all measures or engage in any activity aimed at promoting the corporate purpose or which fall directly or indirectly within the scope of its activities. The Company may acquire, hold, manage, mortgage and sell real estate as well as acquire, exploit, pledge and sell patents, licenses and other intangible assets. With regard to transactions relating to the purchase of real estate in Switzerland, these must have an exclusively commercial purpose and be directly related to the commercial activities of the Company. It is specified that if real estate assets held through participations are located in Switzerland, they may only have an exclusively commercial purpose and be directly related to the commercial activities of the Company.
