to insure the personnel of TOTSA TotalEnergies Trading SA and any affiliated companies (hereinafter the employer) against the economic consequences of old age, disability and death, by guaranteeing them benefits determined by regulatory means; the Foundation Board may also grant discretionary benefits to insured persons and their dependents who are manifestly in need; these benefits must be related to the purpose of provision; the Foundation Board is competent to decide on the means necessary to achieve the purpose defined in paragraph 1; it may use all or part of the Foundation's assets for this purpose; to achieve its purpose, the Foundation may conclude insurance contracts for the benefit of all beneficiaries or part of them, or take over existing contracts in its own name; the Foundation is then both the policyholder and the beneficiary; the Foundation Board may decide that Swiss entities belonging to the TotalEnergies company join the Foundation; each company wishing to join the Foundation must provide the necessary financial means for the insurance of its own personnel; this membership must not in any way reduce the claims of the insured persons and beneficiaries of the Foundation; membership is made through an affiliation agreement which must be brought to the attention of the supervisory authority; under no circumstances may the Foundation assume obligations that legally fall to the employer, outside of its obligations to provide for the personnel, nor make payments that have the character of a remuneration for work or a similar aspect, except for management fees.
