The Company's purpose is to develop, operate, and manage an international chain of luxury hotels, including the management of establishments under a hotel brand, as well as any subsidiary company or activity related to the hotel, luxury, and leisure sectors. It may also act as a consultant or expert for third parties in matters of design, construction, and management of hotels and residences. It may acquire and dispose of interests in hotel companies in Switzerland and abroad, as well as in subsidiary companies active in the hotel and leisure sectors. It may acquire, lease, or sublease, in its name, hotels, residences, or businesses directly or indirectly related to the hotel and residence industries, and sell or transfer all or part of them. The Company may also acquire or dispose of interests in other companies or associate with them, including companies with an identical or similar purpose. The Company may take into account the interests of the shareholders in pursuing its purpose. The Company may grant loans and other direct or indirect financing to its direct or indirect subsidiaries and to third parties, including its direct or indirect shareholders as well as the direct or indirect subsidiaries of such shareholders, without restriction, in the context of liquidity management activities within the group (including zero balancing), and may create securities of any kind in favor of these parties, including through pledges or transfers of the Company's assets in trust or through guarantees of any nature.
