The company's purpose is to reproduce - currently on a contract basis through Agroscope - and sell reproduction cultures to commercial and industrial Swiss milk processors for the production of Swiss milk products in Switzerland; to ensure a qualitative, quantitative and price-discriminatory access to the reproduction cultures for all commercial and industrial Swiss milk processors for product manufacturing in Switzerland; to ensure and preserve the rights of the collective owners of the cultures and the private owners of exclusive cultures to the cultures. For any outsourcing of individual production steps, the prior consent of the collective owners of the cultures and the private owners of exclusive cultures must be obtained. Reserved is the outsourcing of production steps or the entire production to Agroscope; the exclusive production and/or distribution of products manufactured, developed or patented by Agroscope, which have a connection to cheese production and/or to the microbial cultures of the stock collection. Expressly not covered by the purpose and therefore prohibited to the company are the delivery and sale of reproduction cultures abroad or to buyers from whom it knows or must assume that they will resell or give away the reproduction cultures abroad; the establishment of its own stock collection. Explicitly permitted, however, is the management (production, storage and control) of reproduction conserved (lyophilized, deep-frozen or otherwise conserved) as starting material for reproduction. The company may enter into all transactions and conclude contracts that are suitable to promote the purpose of the company or that are directly or indirectly related to it, and may also establish branch offices and participate in or merge with other companies.
