The purpose of the company is to acquire and hold intellectual property rights, as well as to manage and develop them abroad and in particular in Switzerland. The company may, in addition, carry out all transactions that are suitable to promote and facilitate the development of the company and the achievement of its purpose, such as establishing branches in Switzerland and abroad, participating in companies of a similar nature in Switzerland and abroad, and acquiring and disposing of real estate. The company may grant direct or indirect financing to its direct or indirect subsidiaries, as well as to third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, for its own liabilities and for those of other companies (including direct or indirect shareholders of the company or companies in which these shareholders are directly or indirectly involved). The company may also provide security of any kind, including by way of pledges or fiduciary transfers or assignments of the company's assets, or guarantees, sureties, or other forms of collateral for the obligations of these other companies, whether or not for consideration. Furthermore, the company may engage in cash pooling with the aforementioned companies or join such an arrangement, including periodic account balancing. All of this may be done by the company without consideration, on preferential terms, without interest, without the intention of generating profits, and with the assumption of cluster risks.
