The company may, in particular, conclude the following agreements (or agreements with a similar economic background), the exact designation of which may vary: Asset SPV Master Framework Agreement (agreement regarding definitions and general provisions), Receivables Sale and Purchase Agreement (agreement regarding the sale of credit card receivables), Servicing Agreement (service agreement), Collateral Certificate Trust Deed (agreement regarding collateral loans), Issuer Certificate No. 1 Supplement (agreement regarding the initial loan to the issuer), Issuer Certificate No. 1 (certificate regarding the initial loan to the issuer), Originator Certificate Supplement (agreement regarding loans to the sellers), Asset SPV Claims Assignment Agreement (agreement regarding the assignment of claims), Asset SPV Account Bank Agreement (bank account agreement), Confirmation Agreement (pledge agreement), Asset SPV Securities Account Control Agreement (control agreement pursuant to the book-entry securities act), Asset SPV Corporate Services Agreement (agreement regarding the provision of corporate services) and Subscription Agreement (agreement regarding the subscription of bonds) as well as all other agreements necessary in this context or for further securitisations (hereinafter the Transaction Documents). The company may not engage in any commercial, financial or other activities that do not directly or indirectly serve the company's purpose. The company may not sell or transfer credit card receivables against credit card customers that have been assigned to it, unless this is provided for in the Transaction Documents. It is also prohibited from acquiring or holding real estate, unless the company acquires it through the realisation of acquired pledge rights. It may not participate in any companies. It may not provide securities, guarantees, sureties or similar for the benefit of third parties (unless this is provided for in the Transaction Documents).
