The Company's purpose is: (i) the creation, development, manufacturing, purchase, storage, promotion, distribution, marketing, and sale, as well as all related services, both on its own account and on behalf of third parties, worldwide, of all luxury products and consumer goods; and (ii) the provision of services to all entities of the THMG constellation or to third parties, including all services and advice in the field of business, commercial and financial strategy, overall planning, marketing, coordination of the activities of the THMG constellation, and administrative and legal assistance. The Company may, in Switzerland or abroad: (i) acquire, sell, administer and control interests in all commercial, industrial and financial enterprises and entities, as well as make any investment and any movable or immovable property transaction (only in connection with properties exclusively for commercial use) directly or indirectly related, in any form, to this purpose. (ii) carry on any financial, commercial or industrial activity - movable or immovable (only in connection with properties exclusively for commercial use) by persons abroad - and conclude any contract and carry on any other activity likely to develop its purpose or in direct or indirect relation thereto; (iii) hold, acquire, exploit, grant and take licenses and sell any intellectual property rights; (iv) create branches or subsidiaries; and (v) carry out, either on its own account or on behalf of third parties, any financial transactions, including issuing bonds, or other transactions directly or indirectly related to its main purpose; and receive and grant loans or provide guarantees or other types of security, including by way of pledging or transferring ownership of the Company's assets as security, for a consideration or free of charge, as well as direct or indirect financing, including within the framework of cash pooling agreements, to direct or indirect subsidiaries, direct or indirect shareholders and their direct or indirect subsidiaries, or to third parties.
